NEW YORK, Aug. 24, 2026 /PRNewswire/ — Global law firm Greenberg Traurig, LLP represented Global Net Lease, Inc. (NYSE: GNL) in its acquisition of Modiv Industrial, Inc., helping the company add a $535 million portfolio of industrial net-lease properties across the United States.

Greenberg Traurig, LLP

The transaction, completed on August 12th, advances GNL’s strategy of increasing its industrial real estate portfolio, with such assets now representing approximately 50% of total straight-line rent, while enhancing portfolio quality, diversification, and long-term cash flow durability, the company said in a statement.

Under the terms of the transaction, each Modiv common share was exchanged for 1.975 newly issued GNL shares, while preferred shareholders received an amount in cash equal to $25 per share plus accrued and unpaid dividends.

“GNL continues to execute on a thoughtful strategy to strengthen and grow its portfolio, and we were pleased to help the company achieve another important milestone through this acquisition,” Co-Chair of Greenberg Traurig’s Real Estate Investment Trusts (REITs) Practice Joseph A. Herz and Orlando office Co-Managing Shareholder Jonathan M. Perry said in a statement. “Transactions of this scale require seamless coordination across multiple disciplines, and our team was able to draw on Greenberg Traurig’s deep bench of real estate, REIT, corporate, tax, capital markets, and related practitioners nationwide. That collaborative approach allowed us to provide integrated counsel and help GNL efficiently advance its business objectives.”

The Greenberg Traurig team was led by Herz, Perry, and Co-President Michael J. Baum in Chicago, and also included Shareholders Hannah Caplan in Denver, Timothy W. Donovan in New York, Bradley R. Marsh in San Francisco, Thomas R. Martin in Miami, and Win Rutherfurd in Boston, as well as Of Counsels Tingying (Diana) Liu in San Francisco and Ryan Reimers in Charlotte.
