SINGAPORE, Nov. 2, 2026 /PRNewswire/ — MetaOptics Ltd (Catalist: 9MT) (OTCQX: MOTLY) (“MetaOptics” or the “Company”, and together with its subsidiaries, the “Group”), a leading-edge semiconductor optics company, refers to its previous press release on 25 September 2026 on the establishment of its sponsored Level 1 ADR programme in the U.S. (the “ADR Programme“), under which American Depositary Shares (“ADSs“) will trade on OTCQX.

With the Group’s continued and ongoing expansion in the U.S., the ADR Programme is intended to broaden the Company’s international investor reach and provide U.S.-based investors with a more convenient channel to access and trade the Company’s securities, and to provide a platform for U.S. investors to directly participate in the Company’s growth story. The Company believes that greater access to U.S. investors will be particularly relevant as it progresses its next phase of commercialisation and development.

In addition, the ADR Programme will provide Singapore-based investors around-the-clock access to trade in the Company’s shares, via OTCQX and its local listing on the SGX Stock Exchange. The Company wishes to provide Shareholders with a step-by-step guide on the process for converting their existing Shares traded on the Catalist of the SGX-ST, into ADSs which is tradable on the OTCQX platform. An FAQ on the ADR Programme can be found on https://metaoptics.sg/investor-relations/resources/investor-faqs.

To facilitate the conversion of their existing Shares and the issuance of ADSs, Shareholders will be required to complete the following procedures:

  1. Open a U.S. Securities Trading Account

Shareholders must first establish a U.S. securities trading account with a broker that is able to receive the ADSs through the U.S. Depository Trust Company (“DTC“) system. Retail investors may reach out to brokers including, amongst others, Interactive Brokers (IBKR) and E*TRADE.

  2. Instruct Your Singapore Broker

Following the opening of the U.S. securities trading account, Shareholders should instruct their Singapore-based brokers to process the ADS issuance request on their behalf.

  3. Completion of ADS Issuance Request Documentation

The Singapore-based broker will be required to complete and sign the ADS issuance request form, commonly referred to as the Letter of Transmittal, on behalf of the Shareholder.

  4. Provide U.S. Securities Trading Account Details

The Shareholder’s U.S. securities trading account details must be included in the Letter of Transmittal to facilitate the delivery of the ADSs upon issuance.

  5. Transfer of Underlying Shares

Upon completion of the documentation, the Singapore-based broker will arrange for the transfer of the Shareholder’s existing shares from CDP to J.P. Morgan’s (the depositary bank for the ADR Programme) designated custody account.

  6. ADS Issuance and Delivery
Once the existing shares have been successfully deposited into J.P. Morgan’s custody account, J.P. Morgan will then issue the corresponding ADSs and deliver them via the DTC system to the Shareholder’s U.S. securities trading account specified in the Letter of Transmittal.

Important Information

Shareholders are advised to engage their Singapore-based brokers directly to initiate the conversion and ADS issuance process. Investors who wish to find out more about the conversion and/or ADSs issuance on OTCQX may refer to https://adr.com/ for the related forms and instructions. J.P. Morgan’s Settlement and Operations team will also be available to assist investors and/or their brokers, and can be contacted at jpm.adr.settlements@jpmorgan.com.
