Issuance of shares in connection with vested awards

In accordance with an announcement of transactions by persons discharging managerial responsibilities published by the Company on 9 June 2026, pursuant to the vesting of certain conditional awards over ordinary shares of $0.01 each in the Company on 8 June 2026 granted subject to the rules of the Malibu Life Omnibus Incentive Plan, the Company announces the allotment and issue of 84,999 ordinary shares of $0.01 each in the Company (“New Ordinary Shares“) to satisfy such awards.

The Company has applied to the London Stock Exchange for the New Ordinary Shares to be admitted to trading on the Main Market for listed securities of the London Stock Exchange (the “Main Market“) and admission to trading on the Main Market is expected to occur at or around 8.00 a.m. on 15 September 2026 (“Admission“).

Total voting rights

Immediately following Admission, the Company will have 25,777,809 Ordinary Shares in issue and admitted to trading on the Main Market, and its issued share capital will be:

• 25,777,809 Ordinary Shares of US$0.01 each with one vote per share; and
• 17,185,206 B Shares of US$0.01 each with one vote per share.

Therefore, the total number of voting rights in the Company immediately following Admission will be 42,963,015. The Company holds no shares in treasury.

The above figure of 42,963,015 may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA’s Disclosure Guidance and Transparency Rules.
